JANICE CARTER – Chief Executive Officer

Janice Carter is co-founder of Panda Energy International, a privately held energy company that constructs, maintains, operates and invests in high efficiency power generation facilities and energy infrastructure. Mrs. Carter started the company, along with her husband, Robert Carter, in 1982 to capitalize on investment opportunities identified in the 1978 Public Utility Regulatory Policies Act (PURPA).

As President and Chief Executive Officer (CEO) of Panda Energy, Mrs. Carter retains management responsibility for all aspects of the business and reports to the Board of Directors. Mrs. Carter has a proven executive management track record and over 30 years of experience driving growth in the energy sector. During her tenure, Mrs. Carter’s core responsibilities included overseeing domestic and global operations (Katmandu, Beijing, Mexico City, Rio De Janeiro, Tegucigalpa), administrative functions, business continuity and planning, systemized reporting compliance, human resources, as well as the design and implementation of sales and marketing strategies. Before joining Panda Energy, Mrs. Carter was Executive Vice President of Carter Oil & Gas Inc. and served on the Board of Directors. Previously, Mrs. Carter was Executive Assistant to the President of Otis Engineering, a division of Halliburton.

Mrs. Carter and Robert live in Dallas and have two children, five grandchildren and two rescued poodles. Each remain active in their philanthropic efforts, including serving on the Board of Directors for the “I Have A Dream Foundation”, a charitable organization that empowers children in low-income communities to pursue higher education by providing long-term, comprehensive skills training and guaranteed tuition support.

 

CREEDE WILLIAMS – Sr. Vice President and General Counsel

Creede Williams is Panda Energy International’s senior vice president and general counsel. Mr. Williams serves on the company’s executive team and oversees all legal matters, including litigation, project and corporate finance, governance, M&A activities, divestitures, State and Federal regulatory affairs, securities compliance, departmental budget and management responsibilities, in addition to shareholder relations.

Mr. Williams is admitted to the Oklahoma Bar, Texas Bar and is currently pending admission to the Tennessee Bar. He is also admitted to practice before the District Court for the Northern District of Texas and the Bankruptcy Court for the Northern District of Texas.  Mr. Williams received his J.D., University of Oklahoma, College of Law, 1999; B.A. (cum laude), Letters, University of Oklahoma, 1996. 

Prior to becoming general counsel, Mr. Williams served in various executive roles within the organization, including assistant general counsel and secretary, as well as general counsel to Panda’s subsidiary entertainment company, TNA Entertainment, LLC. Mr. Williams joined Panda Energy from Trilogy Development in 2008; where he served as corporate counsel working with all aspects of project development activities, including site selection, zoning, finance, marketing, acquisitions and the use of municipal utility districts, tax increment financing and other economic development incentives.

 

 

DON THORPE – Vice President, Operations

Donald J. Thorpe has been Panda Energy’s Vice President of Operations for the Company’s projects since February, 1998. In this position he has provided operations management for all of Panda’s ten power generation projects and one ethanol project. Prior to his current position, he was the General Manager of the Company’s Rosemary facility from 1994. From 1992 to 1994, he served as General Manager of a facility for Sithe Energies. Form 1971 to 1992, Mr. Thorpe held a variety of progressively more important management position for Potomac Electric Power, including 8 years as Manager of Generating Maintenance, responsible for the utilities’ central maintenance service center, roving crews, and maintenance of all six of utilities generating plants and 34 generating units. From 1967 to 1971, Mr. Thorpe was a Turbine Field Service Engineer for Westinghouse’s Power Generating Services. Mr. Thorpe has a Bachelor of Science degree in Mechanical Engineering. 

 

 

SALWA W. NICOLAS – Controller

Salwa Nicolas joined Panda Energy in October, 2006 and currently holds the position of Controller/Chief Financial Officer where she is responsible for oversight of the finance, accounting, treasury and internal/external audit process.  Before joining Panda Mrs. Nicolas was a Controller for Telpar, Inc a subsidiary of R. R. Donnelly for almost 10 years.   Her major role in the areas of Accounting & Finance, Management and Business Restructuring, Merger/Acquisition Integration, Administration and Operations lead to improve the company bottom line profitability.  On top of her various finance and management roles, Mrs. Nicolas obtained the Lead Auditor Certification that allowed her company to become an ISO 9001 Certified. Also, she was a major contributor in the implementation of Sarbanes–Oxley compliance.

Mrs. Nicolas received her Bachelor degree in Accounting and Finance from the Lebanese University in Beirut – Lebanon and a Master of Science in Accounting from The University of Texas in Dallas and is a licensed Certified Public Accountant “CPA” in the state of Texas.  Mrs. Nicolas has more than 18 years experience in the in corporate accounting, finance, manufacturing, and distribution in the Service and Energy industries.
